These Terms of Service (“Terms”) govern your access to and use of the website at aegisheatingandair.xyz (the “Website”) and the HVAC installation, repair, maintenance, and related services (collectively, the “Services”) provided by Aegis Heating and Air (“Aegis,” “we,” “us,” or “our”), a Utah-based heating, ventilation, and air conditioning contractor licensed under Utah S350 Mechanical Contractor License #11234567-5501.
By using our Website or scheduling Services with us, you (“Customer,” “you,” or “your”) agree to these Terms. If you do not agree, please do not use the Website or our Services.
1. About Aegis Heating and Air
Aegis Heating and Air is a locally owned HVAC contractor based at 4454 Manhattan Ct, West Valley City, UT 84120, serving Salt Lake County and surrounding communities along the Wasatch Front. We are licensed by the Utah Division of Occupational and Professional Licensing (DOPL), carry general liability insurance, and maintain workers’ compensation coverage on all employees.
2. Website Use
Permitted Use
You may use the Website for personal, non-commercial purposes related to learning about, requesting, or receiving Services from Aegis. You agree not to:
- Use the Website in any way that violates applicable federal, state, or local law
- Attempt to gain unauthorized access to any portion of the Website, including its servers, databases, or accounts of other users
- Use any automated system, including bots, scrapers, or crawlers, to access the Website except for legitimate search engine indexing
- Interfere with or disrupt the Website or servers connected to the Website
- Transmit any malware, viruses, or harmful code through the Website
- Use the Website to harvest contact information, send unsolicited marketing, or otherwise misuse the contact channels provided
- Copy, reproduce, modify, or create derivative works of Website content without our written permission, except as permitted under fair use
Intellectual Property
All content on the Website — including text, graphics, photos, logos, button icons, images, video clips, audio files, digital downloads, and software — is the property of Aegis Heating and Air or its content suppliers and is protected by United States and international copyright laws. The Aegis Heating and Air name and logo are trademarks of Aegis Heating and Air. You may not use these marks without our prior written consent.
Photos of our completed projects displayed on the Website remain our property. If you are a customer and would like to use a photo of work we performed on your property, contact us — we’ll usually say yes.
3. Free Estimates and Quotes
We provide free in-home estimates for new HVAC installations, replacements, and major upgrades within our service area. The estimate process typically includes:
- An on-site visit by a qualified Aegis representative
- Manual J load calculation for the home or space
- Measurement of existing equipment, ductwork, electrical, and venting
- A written quote with line-item pricing, equipment specifications, and project scope
- Discussion of available financing, rebates, and tax credits
Estimates are valid for 30 days from the date issued unless otherwise stated in writing. After the validity period, pricing may change due to equipment cost fluctuations, regulatory changes, or scope adjustments. We will honor written quotes during the validity period without surprise charges, provided the scope of work does not change.
4. Service Agreements and Work Authorization
Before we begin any installation, replacement, or significant repair work, you will receive and sign a written service agreement or work authorization specifying:
- The scope of work to be performed
- Equipment to be installed (make, model, and specifications)
- Total project price, including taxes and any applicable financing terms
- Payment terms and schedule
- Estimated start and completion dates
- Warranty coverage on equipment and labor
- Any conditions or contingencies that apply
Verbal estimates or verbal authorizations are not binding service agreements. A signed written agreement (electronic or paper) is required before work begins. Smaller diagnostic visits and minor repairs may be authorized verbally during the service call, with the diagnostic fee and repair pricing disclosed before work is performed.
5. Pricing, Payment, and Invoicing
Pricing
All pricing is in U.S. dollars and includes applicable Utah state and local sales taxes unless stated otherwise. Pricing for diagnostic visits and minor repairs is disclosed before work begins. Pricing for installations and major repairs is established in the written service agreement.
We do not bill for charges that were not disclosed and authorized in advance. If we discover additional work needed during a job — for example, a damaged section of ductwork or a non-compliant gas line — we stop, provide a written add-on quote, and only proceed with your written or verbal approval, documented in writing.
Payment Methods
We accept the following forms of payment:
- Major credit cards (Visa, Mastercard, American Express, Discover)
- Debit cards
- ACH bank transfers
- Personal and business checks
- Cash
- Approved financing through our lender partners (subject to credit approval)
Payment Terms
Payment terms vary by project type:
- Diagnostic visits and minor repairs: Payment due upon completion of work
- Installations and major projects: A 30% deposit is due at signing of the service agreement, with the balance due upon completion of work and your acceptance of the installed system. Smaller projects under $3,000 may be billed in full upon completion at our discretion. Commercial customers with approved credit may qualify for Net 30 terms
- Financed projects: Funded by the lender per the loan agreement; no upfront payment required from the customer for the financed amount
- Maintenance plan customers: Per the maintenance plan agreement
Late Payments and Returned Checks
Invoices not paid by the due date may incur a late fee of 1.5% per month or $25, whichever is greater, until paid in full, to the extent permitted by Utah law. Returned checks are subject to a fee of $30 plus any fees charged by our bank, consistent with Utah Code § 7-15-2. Accounts not paid within 60 days may be referred to a collections agency, and you agree to pay reasonable costs of collection, including attorneys’ fees, to the extent permitted by Utah law.
6. Service Scheduling and Cancellations
Scheduling
We schedule service calls and installations during regular business hours (Monday–Saturday, 9 AM–5 PM) by appointment. Emergency service is available outside business hours for genuine emergencies — no heat in winter, no AC in extreme heat, suspected gas leak, water leak from HVAC equipment, or CO alarm activation. Emergency service may incur additional charges; these will be disclosed when you call.
Customer Cancellations
You may cancel a scheduled service call or installation:
- More than 24 hours before the scheduled appointment: No cancellation fee
- Less than 24 hours before the scheduled appointment: A cancellation fee of $75 may apply to cover dispatch and scheduling costs
- Installation projects with materials ordered: If equipment has been special-ordered for your project, cancellation after order placement may incur restocking fees charged by the supplier, plus our reasonable costs
Aegis Cancellations or Rescheduling
We will make every effort to keep scheduled appointments. If we need to reschedule due to weather, prior emergency calls running long, equipment delays, or technician illness, we will notify you as soon as possible and offer the next available slot. We are not liable for damages caused by reasonable scheduling adjustments.
7. Right to Cancel Home Solicitation Sales (Utah Law)
Utah law provides certain home solicitation cancellation rights under the Utah Home Solicitation Sales Act (Utah Code § 70C-5). If you sign a service agreement at your home or another location that is not our regular place of business, you may have the right to cancel the agreement within three business days of signing, subject to the conditions in the statute. The specific cancellation notice required by Utah law will be provided with your signed service agreement.
8. Warranties
Manufacturer’s Warranty
Equipment we install is covered by the manufacturer’s warranty for the period specified by the manufacturer (typically 10 years for major components on most major-brand residential equipment, when registered within the required window). We register manufacturer warranties on your behalf following installation. The manufacturer is solely responsible for honoring its warranty per its terms.
Labor Warranty
Aegis Heating and Air provides a written labor warranty on installation work:
- New system installations: 2-year labor warranty covering installation workmanship from the date of commissioning
- Major repairs and component replacements: 90-day labor warranty on the specific repair performed
- Diagnostic services: Diagnostic findings are warrantied to be accurate at the time of the visit; subsequent failures unrelated to the diagnosed issue are not covered
The labor warranty covers defects in our workmanship — installation errors, improper torque, incorrect refrigerant charge at commissioning, and similar issues directly attributable to our installation. It does not cover:
- Damage caused by misuse, abuse, neglect, or failure to perform recommended maintenance
- Damage from acts of God, including but not limited to flooding, lightning, earthquakes, and hail
- Damage caused by other contractors, homeowners, or third parties working on or near the system
- Damage caused by power surges, voltage fluctuations, or electrical issues outside the HVAC system
- Issues arising from changes to the building envelope, ductwork, or thermostat by others
- Normal wear-and-tear items (air filters, belts, batteries, etc.)
Warranty Claims
To make a warranty claim, contact us at (385) 250-0687 or info@aegisheatingandair.xyz. We will respond promptly and arrange to diagnose the issue. If the issue is covered under warranty, we will perform the warranty work at no charge to you. If diagnosis reveals an issue that is not covered, we will provide a written quote for the repair before performing any non-warranty work.
9. Customer Responsibilities
To allow us to perform the Services safely and effectively, you agree to:
- Provide accurate information about the property, existing equipment, and any known issues
- Provide reasonable access to the work area, including outdoor units, indoor equipment, mechanical rooms, attics, and crawl spaces
- Secure pets in a separate area during the service visit
- Disclose any unusual conditions on the property — asbestos in older homes, wildlife in attics, structural concerns, etc.
- Obtain any homeowner association approvals required for visible exterior equipment installations before we begin work
- Provide an adult (18+) to be present at the property during the service visit, unless you have authorized us to perform work in your absence
- Promptly notify us if you observe any issues with completed work that may be warranty-eligible
10. Permits and Code Compliance
Where required by local jurisdiction, we obtain permits and arrange inspections for installation work. Permit fees are included in our written quote unless explicitly itemized as a pass-through cost. We perform all work in accordance with applicable Utah Mechanical Code, International Fuel Gas Code, and local amendments. We are not responsible for pre-existing code violations on your property unrelated to the scope of work we are performing, though we will inform you of any code issues we observe.
11. Disclaimers
The Website is provided “as is” and “as available.” To the maximum extent permitted by law, Aegis Heating and Air disclaims all warranties regarding the Website, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components.
Website content is for informational purposes only. HVAC sizing guidance, equipment lifespan estimates, cost ranges, and similar information published on the Website are general guidelines based on typical conditions in Salt Lake County. Your specific situation may differ. Always consult a qualified HVAC professional — including us — for advice tailored to your home or business.
Service warranties are limited to those expressly stated in writing. Except as expressly stated in our written labor warranty and the applicable manufacturer’s warranty, we make no other warranties regarding the Services, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. Some jurisdictions do not allow disclaimer of implied warranties — your statutory rights are not affected to the extent such disclaimers are not permitted.
12. Limitation of Liability
To the maximum extent permitted by law, Aegis Heating and Air, its owners, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, business interruption, or loss of use, arising out of or related to your use of the Website or the Services, even if we have been advised of the possibility of such damages.
Our total cumulative liability arising out of or related to the Services performed for a specific project shall not exceed the amount you paid Aegis for that project. This limitation does not apply to liability for personal injury or property damage caused by our gross negligence or willful misconduct, or to any liability that cannot be excluded under Utah law.
13. Insurance and Liability
Aegis Heating and Air carries general liability insurance and workers’ compensation coverage on all employees. Certificate of insurance is available upon request. You are not responsible for injuries to our employees occurring on your property in the normal course of our work; our workers’ compensation coverage handles those claims. Property damage caused by our negligence during work is covered by our general liability insurance, subject to the policy terms.
14. Indemnification
You agree to indemnify, defend, and hold harmless Aegis Heating and Air and its owners, officers, employees, and affiliates from any third-party claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your breach of these Terms
- Your violation of applicable law
- Your failure to disclose known hazardous conditions on the property where we performed Services
- Third-party claims arising from your modification or use of equipment we installed after our work was completed
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. Any disputes arising out of or related to these Terms or the Services will be resolved as follows:
Informal Resolution First
If you have a concern about our Services, please contact us first. The fastest path to resolution is a phone call to (385) 250-0687 and asking for Patrick Dugger directly. We take customer feedback seriously and will work in good faith to resolve any reasonable concerns.
Mediation
If a dispute cannot be resolved informally, both parties agree to attempt resolution through good-faith mediation before pursuing litigation, with a neutral mediator selected by mutual agreement. Each party bears its own costs of mediation; mediator fees are shared equally.
Jurisdiction
If mediation does not resolve the dispute, any litigation must be filed in the state or federal courts located in Salt Lake County, Utah. Both parties consent to personal jurisdiction in those courts. To the extent permitted by Utah law, the prevailing party in any litigation arising from these Terms is entitled to recover reasonable attorneys’ fees and costs.
16. Force Majeure
Neither party is liable for delays or failures in performance resulting from causes beyond reasonable control, including but not limited to acts of God, severe weather, natural disasters, government actions, labor strikes, supply chain disruptions, equipment shortages, or pandemics. We will make reasonable efforts to notify you of any such delays affecting your scheduled service.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid under Utah law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible, and the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy and any written service agreements you sign for specific projects, constitute the entire agreement between you and Aegis Heating and Air regarding the Website and the Services. They supersede any prior oral or written communications, representations, or agreements on the same subject matter.
In the event of a conflict between these Terms and a signed written service agreement for a specific project, the signed service agreement controls for that project.
19. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, legal requirements, or business operations. When we make material changes, we will update the “Last Updated” date at the top of these Terms and, where appropriate, provide additional notice. Your continued use of the Website or Services after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, please discontinue use of the Website and Services.
